Porta Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Porta (“Porta”, “we”, “our” or “us”) and our mobile apps, websites, and related services (collectively, the “Service”).
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 13 years old (or the minimum age in your country) to use Porta. If you are under the age of majority in your jurisdiction, you represent that you have your parent’s or guardian’s permission to use the Service. You may only use the Service in compliance with these Terms and all applicable laws.

2. Your Account

You may need to create an account to use certain features.

• You must provide accurate and complete information and keep it up to date.
• You are responsible for safeguarding your account credentials and for all activity that occurs under your account.
• Notify us immediately if you suspect any unauthorized use of your account.
• We reserve the right to suspend or terminate your account if we believe you have violated these Terms or pose a risk to the Service or other users.

3. User Content

Porta is a creative platform where you can create, upload, remix, and share content, including AI-generated content (“User Content”).

3.1 Your Responsibility

You are solely responsible for your User Content and for the consequences of posting, sharing, or publishing it.

You represent and warrant that:

• You own or have all necessary rights to your User Content.
• Your User Content does not violate these Terms or any applicable law or third-party rights (including privacy, publicity, copyright, and trademarks).

3.2 License You Grant to Porta

By creating, uploading, or otherwise making User Content available on the Service, you grant Porta a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to:

• Host, store, use, reproduce, modify, adapt, translate, create derivative works from (including remixes and AI transformations), distribute, publicly perform, and publicly display your User Content in connection with operating, improving, promoting, and providing the Service.

This license continues for as long as your content is available on the Service. For content that others have already remixed, reused, or shared, some uses may continue even if you delete the original content, to respect those derivative works and the operation of the Service.

3.3 License You Grant to Other Users

By posting User Content as public (or any similar setting), you grant other Porta users a license to:

• View, use, remix, share, and create derivative works from your User Content within the Service, in ways consistent with the features of Porta (for example, using your scene as a template), and any settings you choose.

You can change some visibility settings, but content that has already been used or shared by others may continue to be available in their creations.

4. AI-Generated Content and Models

Porta uses AI and other automated systems to generate or transform images, scenes, and other content. Some outputs may be unexpected, imperfect, or incorrect. You are responsible for how you use AI-generated content and for ensuring that your use complies with applicable laws and these Terms. We may use your interactions with the Service (including prompts and content, in anonymized or aggregated form where appropriate) to improve our models and features, subject to our Privacy Policy. We may impose limits on the type of content you can submit to or generate with our AI features (for example, restrictions on nudity, hate, harassment, or illegal content).

5. Prohibited Conduct

You agree not to:

• Use the Service for any illegal purpose or in violation of any law.
• Create, upload, or share content that is illegal, harmful, threatening, abusive, harassing, defamatory, or invasive of privacy.
• Create hateful, discriminatory, or violence-inciting content.
• Create explicitly sexual or pornographic content (especially involving minors or non-consensual content).
• Infringe on intellectual property or other rights.
• Impersonate any person or entity, or misrepresent your affiliation.
• Attempt to generate harmful, deceptive, non-consensual, or illegal content involving real individuals.
• Reverse engineer, decompile, or attempt to extract source code.
• Interfere with the operation of the Service (spamming, flooding, overloading, unauthorized bots).
• Circumvent security or access controls.

We may remove or restrict access to any User Content or account we believe violates these Terms or our policies.

6. Intellectual Property

6.1 Our Rights

The Service, including all software, design, text, graphics, logos, trademarks, and other materials (excluding User Content), is owned by Porta or its licensors and is protected by intellectual property laws. Except as expressly permitted by these Terms, you may not copy, modify, distribute, sell, or lease any part of our Service or included content.

6.2 Feedback

If you provide feedback or suggestions about Porta (“Feedback”), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and exploit the Feedback without any obligation to you.

7. In-App Purchases and Subscriptions (If Applicable)

If Porta offers paid features, credits, or subscriptions:

• Prices and billing terms will be presented to you in the app or store.
• Purchases may be processed via app stores or third-party payment processors, subject to their terms.
• Except where required by law, all purchases are final and non-refundable.
• We may change prices or introduce new fees; we will notify you if this affects existing subscriptions.

8. Third-Party Services and Links

The Service may integrate with or link to third-party services (e.g., app stores, social networks, cloud storage). We are not responsible for third-party services or their content, policies, or actions. Your use of third-party services is governed by their own terms and privacy policies.

9. Termination

You may stop using Porta at any time and, where available, you may delete your account through the app.

We may suspend or terminate your access if we believe:

• You have violated these Terms or policies.
• You create risk or legal exposure.
• The Service is no longer commercially viable.

Upon termination: Your right to use the Service ends immediately. Some sections (licenses, liability limits, dispute resolution) survive termination. Some content (e.g., remixes by others) may remain available.

10. Disclaimers

The Service is provided on an “AS IS” and “AS AVAILABLE” basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• Any warranties that the Service will be uninterrupted, secure, or error-free, or that content will be safe or reliable.

You use the Service at your own risk, including reliance on any content (human or AI-generated) within Porta.

11. Limitation of Liability

To the maximum extent permitted by law: Porta and its affiliates, officers, employees, agents, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits or data.

In no event will our total liability exceed the greater of:

• The amount you paid to Porta in the last 12 months, OR
• US $100.

Some jurisdictions do not allow certain limitations of liability.

12. Indemnification

You agree to defend, indemnify, and hold harmless Porta from claims arising out of:

• Your use of the Service
• Your User Content
• Your violation of these Terms or applicable laws
• Your infringement of third-party rights

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, USA. Disputes will be resolved through binding arbitration in [Wilmington, Delaware], unless small claims court applies.

14. Changes to These Terms

We may modify these Terms from time to time. Your continued use after changes become effective constitutes acceptance.
